These Terms & Conditions ("Terms") govern your use of the African Script website (africanscript.com) and your engagement of any African Script product or service, including website and e-commerce design and development, systems and mobile app development, digital marketing, graphic design and printing, hosting, payment integration, maintenance and support, our school management products (ElimuCore, the CBC Exam & Grading Management System, and the School Fees Management System), and Ustadi, our business management (ERP) platform. By using our website, accepting a quote, or engaging our services, you agree to these Terms.
One set of Terms governs all our products because the same company, the same standard of work, and largely the same commercial mechanics (quotes, deposits, delivery, ownership on payment) apply across all of them. Where a specific engagement needs terms beyond this general framework, those are set out in a signed Statement of Work, Order Form, or a Master Service Agreement, which take precedence over these Terms for that engagement.
"African Script", "we", "us", "our" means African Script Global Solutions, of Pension Towers, Loita Street, 10th Floor, Nairobi, Kenya. "Client", "you", "your" means the person or organisation engaging our services or using our website. "Services" means any product or service we provide, including bespoke development, hosting, retainers, and support. "Deliverables" means the specific output of a Service (such as a website, application, system, or design asset).
We provide website design and development, e-commerce design, development, management, security and SEO, systems (ERP/POS) design and development, mobile app design and development, digital marketing, graphic design and printing, web hosting, payment integration, maintenance and support, school management systems (ElimuCore, CBC exam & grading, and school fees management), and Ustadi, our own business management (ERP) platform covering sales, invoicing, accounting, payroll, and HR. The exact scope, deliverables, timeline, and price for a given engagement are set out in a quote, proposal, Statement of Work, or Ustadi subscription plan, not in these Terms.
Quotes are valid until the date shown on the quote. A quote becomes a binding agreement between you and African Script once you accept it (in writing, by email, or via the acceptance link/portal we provide), at which point these Terms and the accepted quote together form the contract for that engagement. We reserve the right to revise a quote before acceptance, and to decline to proceed with an engagement at our discretion before work has started.
You agree to provide timely feedback, content, access credentials, and approvals reasonably required for us to deliver the Services; to ensure that any content, data, or materials you supply do not infringe any third party's rights or applicable law; and to keep your account, portal, and payment details accurate and secure. Delays caused by late client input may extend agreed timelines proportionately.
Unless otherwise agreed in writing, ownership of custom Deliverables created specifically for you (such as bespoke code, designs, or content produced for your project) transfers to you once you have paid all amounts due for that engagement in full. Until full payment is made, all Deliverables remain the property of African Script.
African Script retains ownership of all pre-existing tools, frameworks, libraries, templates, know-how, and proprietary platforms used to deliver the Services - including ElimuCore, Ustadi, and other African Script software products - whether or not they are incorporated into your Deliverables. We grant you a licence to use such underlying platforms as part of the Service (for example, a school's licence to use ElimuCore, a business's licence to use Ustadi, or a hosted store's use of an underlying platform), which does not constitute a sale or transfer of that platform.
Third-party components (such as licensed plugins, fonts, stock imagery, or open-source software) remain subject to their own licence terms.
Some Services rely on third parties - such as domain registrars, payment gateways (including M-Pesa/Safaricom and card processors), SMS providers, or cloud hosting providers. Unless we have agreed to manage a specific third-party account on your behalf, you are responsible for your own accounts, credentials, and fees with such third parties, and for complying with their terms. We are not liable for the acts, omissions, downtime, or fee changes of third-party providers.
We will perform the Services with reasonable skill and care, consistent with good industry practice. Except as expressly stated in a quote, Statement of Work, or Master Service Agreement, our Services and Deliverables are provided "as is" and we do not warrant that they will be error-free, uninterrupted, or fit for a purpose we were not made aware of in writing.
To the maximum extent permitted by Kenyan law, African Script's total liability arising out of or in connection with any engagement is limited to the total fees paid by you for that specific engagement in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential loss, including loss of profits, revenue, data, or business opportunity. Nothing in these Terms limits liability that cannot be limited under Kenyan law, such as liability for fraud or wilful misconduct.
Refunds are governed by our Refund Policy, which forms part of these Terms.
Each party agrees to keep the other's confidential information (including business, technical, and pricing information not otherwise public) confidential, and to use it only for the purpose of the engagement, both during and after the engagement ends, except where disclosure is required by law.
Personal data is handled in accordance with our Privacy Policy. Where we process personal data on your behalf as part of a Service (for example, operating a school system on your behalf), that processing is additionally governed by a Data Processing Agreement.
Either party may terminate an ongoing engagement on written notice as agreed in the applicable Statement of Work or Master Service Agreement, or, where none applies, on thirty (30) days' written notice. We may suspend or terminate Services immediately for non-payment, or for a material breach of these Terms that is not remedied within a reasonable period after notice. Termination does not relieve you of the obligation to pay for Services already delivered.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including power or internet outages, acts of government, natural disaster, or third-party provider failures, provided the affected party notifies the other and takes reasonable steps to resume performance.
These Terms are governed by the laws of Kenya. The parties will first attempt to resolve any dispute through good-faith negotiation; failing resolution within thirty (30) days, either party may refer the dispute to arbitration in Nairobi under the Arbitration Act (Kenya), or to the courts of Kenya, which have exclusive jurisdiction over any matter not resolved by arbitration.
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when it was last revised. Continued use of our website or Services after a change takes effect constitutes acceptance of the revised Terms; for an active engagement, we will highlight material changes to you directly.
